GENERAL TERMS AND CONDITIONS (GTC) FOR THE USE OF THE ONLINE SHOP AND WESTWING DESIGN SERVICES ON WWW.WESTWING.CO.UK BY BUSINESSES
Below we, Westwing Home & Living Ltd, c/o: Lubbock Fine LLP, 3rd Floor, Paternoster House, 65 St. Paul's Churchyard, London, United Kingdom, EC4M 8AB with its operational trading business at Sandy Way, Grange Park, Northampton, United Kingdom, NN4 5EJ (hereinafter referred to as "Westwing"), present our General Terms and Conditions (hereinafter also referred to as "GTC") for the browsing and use of the Westwing online shop on the website www.westwing.co.uk (also named “Website” hereinafter) by businesses.
By using the website or placing your order on www.westwing.co.uk, you confirm that you accept these GTC (as applicable), and you agree to comply with them. If you do not agree to them, you must not use our site.
These GTC apply to entrepreneurs based in Great Britain (hereinafter referred to as “entrepreneur” or “you”) who take advantage of the offers on our website www.westwing.co.uk. An entrepreneur within the meaning of these GTC is a natural person, legal entity or partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.
1. GENERAL INFORMATION AND SCOPE OF APPLICATION
1.1 Westwing operates an online shop and personal interior design services on the website www.westwing.co.uk.
1.2 These GTC apply to all contracts concluded with you as an entrepreneur via the website www.westwing.co.uk, unless the General Terms and Conditions for customers apply. Westwing does not accept any other GTC, unless otherwise expressly agreed in writing.
1.3 Individual agreements made with you in individual cases (including collateral agreements, supplements and amendments) take precedence over these GTC. Subject to proof to the contrary, a written contract or written confirmation (electronic form according to § 127 BGB is sufficient) from Westwing is decisive for the content of such agreements.
1.4 Westwing employees are generally not authorised to make verbal collateral agreements or to give verbal assurances or declarations that go beyond the content of the written contract.
1.5 If (working) days are specified as deadlines, this shall mean all weekdays except for Saturdays, Sundays and public holidays in Germany and Great Britain.
2. USE OF THE WEBSITE WWW.WESTWING.CO.UK
2.1 When ordering goods and/or services, you will need to submit (personal) data. Please see Westwing's privacy policy, as set out in paragraph 16 for more information about how your (personal) data will be collected and processed.
2.2 You are responsible for ensuring that the data is complete and true. You are also obliged to keep your data up to date. If there is a change in the data provided during your use of the website, you must correct the information immediately. You are obliged to treat your passwords and any other access data confidentially and to protect your account from access by unauthorised third parties.
2.3 You are solely responsible for content (such as product reviews) that you post in areas accessible for this purpose. You warrant that your own content does not infringe or violate the rights of third parties (e.g. intellectual property rights). In this respect, you shall indemnify Westwing in full against third-party claims upon first request. By submitting the content to Westwing, you grant Westwing and all companies of the Westwing Group affiliated with Westwing (hereinafter "Westwing Group") a perpetual, worldwide, irrevocable, royalty-free, fully transferable, sub-licensable licence to host, reproduce, display, distribute, modify, run, copy, publicly perform, make available, publish, translate, promote, and make derivative works of the content, even in part, on the websites of the Westwing Group.
2.4 In your corporate customer account, you can view your open, recently shipped and/or completed orders and, if necessary, change them, as well as manage and store your own data, vouchers, newsletters and notifications in a differentiated manner.
2.5 You may only register with one account on the Website and operate only one account for your business at a time. If Westwing detects multiple registrations, Westwing may delete them. As an entrepreneur, you are not permitted to open any other type of customer account on the website.
2.6 You must not use the Website or its contents for purposes that are unlawful, abusive or prohibited by these GTC. You must not disrupt or manipulate any technical processes in connection with the Website, including by hacking into the Website.
2.7 Westwing has the right to issue warnings, reject orders, limit the available payment methods, or terminate access to the Website, block the customer’s account, and/or delete content in the event that any provisions of these GTC are seriously breached or Westwing has reasonable grounds to suspect the GTC have been seriously breached.
3. CONTRACTUAL PARTNER, LANGUAGE AND CONCLUSION OF CONTRACT
3.1 The contractual partner for the conclusion of contracts on the website www.westwing.co.uk is Westwing.
3.2 The website www.westwing.co.uk is operated in the English language. Contracts via the website are concluded in the English language.
3.3 The offer of goods and services on www.westwing.co.uk is not a binding contractual offer within the meaning of Section 145 of the German Civil Code (BGB) but is subject to change and non-binding as an invitation to submit an offer (so-called "invitatio ad offerendum"). Once the selected products and services have been placed in the virtual shopping cart and the electronic ordering process has been completed, you submit a legally binding contractual offer by clicking the "Buy now" button. After submitting your offer, you will receive an e-mail from Westwing about the receipt of your offer (“Offer Receipt Confirmation Email”). This e-mail from Westwing does not constitute acceptance of the contract. It is at Westwing's discretion not to accept offers. If an order cannot be fulfilled by Westwing, Westwing will inform you immediately. The contract is formed at the point we send a separate shipping confirmation e-mail, no later than when the goods are shipped.
3.4 Westwing stores the order data and sends it to you by email after completing an order. You can also view the GTC at https://www.westwing.co.uk/i/terms_and_conditions/ at any time. If you have set up a customer account before sending your order, you can view the order data in the login area. This also applies to past orders within the scope of the statutory retention obligations.
3.5 Order processing and contact are usually carried out by automated order processing or by e-mail. You must ensure that the e-mail address you provide for order processing is correct so that e-mails sent by Westwing can be received at this address. In particular, when using spam filters, you must ensure that all e-mails sent by Westwing or by third parties commissioned by Westwing to process your order can be delivered.
4. PRICES AND SHIPPING COSTS
4.1 Orders for goods and services on the Website will be subject to the prices set out on the relevant product detail page at the time of your order. The total price of your order, including delivery charges and any optional services (see paragraph 5), will be calculated and clearly displayed in your shopping basket before you complete your purchase. Product prices include VAT.
4.2 When you add a product to your virtual shopping basket, you are not reserving the price displayed at that time on the product detail page. The price of a product may increase or decrease between the time you add it to your virtual shopping basket and the time you actually purchase it.
4.3 The shipping costs are charged separately for each order and are based on the price stated on the product detail page. This depends, among other things, on the size, weight and the respective shipping method. The latter is at the discretion of Westwing.
4.4 In the case of delivery by Westwing, the prices according to clause 4.1 are DDP Incoterms® 2020, including normal packaging, unless otherwise agreed.
4.5 Westwing may grant you discounts and vouchers beyond the reductions shown on the website www.westwing.co.uk within the framework of individual agreements in accordance with paragraph 1.4. In this case, only one alternative discount or voucher can be redeemed on an order. The discount or voucher selected by the customer and stored in the shopping basket shall apply.
4.6 Via your customer account, you have the option of receiving invoices showing VAT and redeem the business customer discount when ordering in the checkout. Manual invoice corrections for corporate customer accounts are generally not made.
4.7 Westwing is entitled to offset payments against older debts first and will inform you of the type of offsetting that has taken place.
4.8 A payment is only deemed to have been made when Westwing can dispose of the amount.
4.9 If Westwing becomes aware of circumstances that call your creditworthiness into question, if you do not pay due invoices or if insolvency proceedings are applied for, opened or rejected due to lack of assets, Westwing is entitled to declare the entire remaining debt due. In this case, Westwing is also entitled to demand advance payments or the provision of security.
5. ASSEMBLY SERVICE
5.1 In the case of selected products, assembly is offered as an additional separate fee-based service in almost all areas of Great Britain (except Grampian and Highlands, Channel Islands, Scottish offshore, Isle of Man and Isles of Scilly) (hereinafter referred to as "assembly service"). In such a case, if you wish to have the product assembled, you order the assembly service by ticking the "assembly service" field on the product detail page, select one of the delivery and assembly dates offered (if offered), placing the item in the virtual shopping cart and completing the order by clicking the "buy now" button.
Westwing does not guarantee that the goods can actually be set up or attached in the rooms provided for this purpose. Westwing reserves the right not to offer the assembly service at its own discretion in individual cases. If assembly cannot be completed due to inadequate space or access, the service fee remains non-refundable. The assembly is carried out according to the respective assembly instructions.
5.2 Westwing may contact you in advance of a chosen delivery date, to make a home visit to ensure there are no access issues in advance of delivery, this check may result in said delivery not being able to be completed, at which point Westwing will make contact with you to clarify next steps.
5.3 Westwing shall provide the assembly service at its discretion itself or through third parties (subcontractors) acting on behalf of Westwing. You are not entitled to the selection of a specific person to carry out the desired assembly service.
5.4 If you have not already agreed on a delivery date via the appointment website, you will be contacted by Westwing or a Westwing subcontractor to arrange an appointment after your order. A suitable and easily accessible environment must be ensured for the provision of the set-up service and promoted by appropriate cooperation on your part, if necessary (e.g. enabling access, sufficient space for assembly).
5.5 Excluded from the installation services are painting and wallpapering work and/or electrical installations as well as wall and ceiling installations.
5.6 When ordering the set-up service, additional costs will be charged for this service in addition to the purchase price displayed at the time of your order or on the appointment booking website.
5.7 The risk of accidental loss and accidental deterioration of the goods shall only pass to you after completion of the assembly service and handover.
5.8 Westwing and its subcontractors are entitled to carry out an acceptance test after assembly and to produce photographic material for documentation.
6. WESTWING DESIGN SERVICES
6.1 With Westwing Design Services, Westwing offers a personal interior design service via the Website (hereinafter referred to as "Westwing Design Service(s)" or "Service"). In principle, these GTC apply to these Services, unless otherwise stipulated below.
6.2 The Westwing Design Services are provided by Westwing or a subcontractor of Westwing by telephone or online via video chat or video conference with screen sharing, in one of the Westwing offline stores or, in the case of Westwing Design Services Deluxe, partly also on site. You can find the specific Westwing Design Services offered in your country on the Website.
6.3 As part of Westwing Design Services, you will receive a professional interior design concept based on the information you provide with a personal shopping list. The exact scope of services as well as the respective costs of the individual Westwing Design Services are listed on the website www.westwing.co.uk in the Design Service section.
6.4 Westwing reserves the right to refuse the Westwing Design Services or its implementation if you have provided false information regarding the premises, behave contrary to the law or in violation of these Terms and Conditions.
6.5 Westwing reserves the right to cancel appointments for the provision of the Westwing Design Services up to 12 hours before the appointment for reasons which are outside of Westwing's reasonable control (e.g., force majeure) and will make reasonable efforts to inform you in advance of any such cancellation. In cases where an appointment is cancelled, you will be offered a new appointment or a refund if no new appointment can be arranged. You can also reschedule the agreed appointment free of charge up to 12 hours before the appointment.
6.6 After the last service has been provided within the scope of the booked Westwing Design Services, the contractual relationship for this specific Westwing Design Service shall automatically end. If, at your request, a redesign of the Westwing Design Services provided is required, you will need to book a new Westwing Design Service via the Website.
6.7 The copyright and other intellectual property rights in relation to the interior design concepts and spatial concepts designed by Westwing and/or designed within the framework of Westwing Design Services belong exclusively to Westwing. Westwing grants you non-exclusive, perpetual and non-transferable rights to the services provided as part of the Westwing Design Services for personal purposes. Commercial, public exploitation is only permitted with the prior written consent of Westwing. Westwing is entitled to use the result of the Westwing Design Services for advertising purposes (e.g. as planning examples on the website) after your prior consent.
6.8 You are responsible for providing Westwing with requested information and documents (e.g. floor plans) that may be relevant to the provision of the service provided.
7. TERMS OF PAYMENT AND PAYMENT
7.1 If you have a VAT registration number, the goods can be paid for using the following payment methods: PayPal, credit card (VISA, Mastercard, American Express, Discover, Diners and UnionPay), ApplePay, GooglePay (only available when ordering via web browser), Shop Pay, bank deposit and invoice payment (subject to our credit check).
7.2 Westwing accepts various credit or debit cards, currently: VISA and Mastercard and American Express as well as Discover, Diners and UnionPay. Westwing will debit the invoice amount from your credit card upon receipt of the order via our payment service provider Stripe Payments Europe Ltd (registered in the Irish Trade Register under number 3206488LH).
7.3 The ApplePay, GooglePay and Shop Pay payment methods are processed through the payment service provider Stripe Payments Europe Ltd (registered in the Irish Trade Register under number 3206488LH.
7.4 If a payment method offered by PayPal is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (registered in the commercial register under R.C.S. Luxembourg B 118 349) (hereinafter: "PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/uk/webapps/mpp/ua/useragreement-full.
7.5 If you choose bank deposit, you will receive an invoice and Westwing's bank details by email after completing your order. The invoice amount must be transferred to Westwing's account within 7 calendar days of receiving the order confirmation. The goods will only be shipped or the service provided once payment has been received in full. When making the transfer, please quote the order number as the reason for payment.
7.6 If you pay an invoice late, Westwing may charge you a late payment fee of GBP5.00to cover itscosts of administering the late payment. Westwing may increase the late payment fee from time to time by notice in writing. The late payment fee will be payable on demand and be added to your account balance.
7.7 Without prejudice to any other right or remedy, Westwing shall be entitled to charge interest on any overdue sumsin accordance with §288 II BGB at a rate of 9% per annum above base rate of the European Central Bank, as varied from time to time, from and including the due date of a payment until the date of receipt by Westwing of full payment ofsuch overdue sums.
8. INVOICING
8.1 By acceptance of these GTC you accept that Westwing may send an invoice to you by electronic means or make invoices available to you by electronic means, in accordance with Article 232 of the Council Directive 2006/112/EC.
8.2 Please note that if your data (especially UK VAT registration number) are not correct according to clause 2.2 when ordering, we are no longer able to issue a correction invoice in order to correct your data after the contract is formed.
9. VOUCHERS
9.1 Westwing offers various types of vouchers: gift vouchers, promotional vouchers and goodwill vouchers:
9.1.1 Gift vouchers
9.1.1.1 Gift vouchers are vouchers that can be purchased on the website www.westwing.co.uk and can only be redeemed at www.westwing.co.uk, unless otherwise stated on the gift voucher. Gift vouchers will be issued to you by email after ordering.
9.1.1.2 Gift vouchers and remaining balance of gift vouchers can be redeemed until the end of the third year after the year of the voucher purchase.
9.1.1.3 Gift vouchers can only be used for the purchase of goods and services and not for the purchase of other gift vouchers.
9.1.1.4 If the price of your order exceeds the balance of a gift voucher, you can make up the difference using the payment methods offered. If the price of your order is lower than the balance of a gift voucher, you can redeem the remaining balance on your next order.
9.1.1.5 In the event an order you have made is cancelled for any reason, the purchase price will be refunded by crediting your voucher account, and any additional amounts will be returned to the payment used for the order.
9.1.1.6 The gift voucher is transferable.
9.1.1.7 Lost voucher codes, especially stolen voucher codes, will not be refunded. Westwing assumes no liability for lost gift voucher codes.
9.1.2 Promotional vouchers (including "Refer-a-friend voucher")
9.1.2.1 Promotional vouchers are vouchers that are issued free of charge as part of advertising campaigns with a specific period of validity and cannot be purchased by you. Promotional vouchers can only be redeemed at www.westwing.co.uk during the specified period, but not for shipping or set-up costs. Promotional vouchers may be subject to further individual conditions. These will be communicated to you in direct connection with the voucher.
9.1.2.2 Vouchers that you have received as a new customer on the basis of an invitation from a Westwing member (so-called "refer-a-friend voucher") cannot be redeemed if you already have an account with Westwing, as the voucher can only be redeemed by new customers.
9.1.2.3 Initial registration or new customer vouchers, which you receive once for registering on the website www.westwing.co.uk, may only be redeemed once per company customer account.
9.1.2.4 Only one promotional voucher can be redeemed per order. It is not possible to refund or credit any remaining balance of a promotional voucher if the value of the purchase is less than the value of the voucher.
9.1.2.5 Promotional vouchers are non-transferable and non-refundable.
9.1.3 Goodwill vouchers
9.1.3.1 Goodwill vouchers are vouchers that cannot be purchased but are voluntarily issued by Westwing at its discretion as a gesture of goodwill.
9.1.3.2 Paragraph 9.1.2 above applies mutatis mutandis to goodwill vouchers.
9.2 In the event of reasonably suspected or actual fraud, other unlawful activity, or breach of these Terms and Conditions, Westwing may temporarily or permanently suspend, block, or refuse the redemption of a voucher.
9.3 Westwing is under no obligation to transfer the amount of a voucher to you or use it to offset amounts for purchases already made by you.
10. DELIVERY AND SHIPPING CONDITIONS
10.1 Deliveries are only made within Great Britain and Isle of Man to the delivery address provided by you.
10.2 The basic delivery times are communicated to you on the respective product detail page and are always only approximate, unless they are expressly agreed as binding. After expiry of the delivery period, a subsequent delivery period of the duration of the delivery period, but no longer than 14 working days, shall be set in motion without explanation.
10.3 Ordered goods will be dispatched at Westwing's discretion either as a parcel or by a forwarding agent.
10.4 Westwing is entitled to make partial deliveries and render partial services if this is reasonable. This is the case if the partial delivery is usable by you within the scope of the contractual purpose, the delivery of the legally ordered goods is ensured, and you do not incur any significant additional expenses or additional costs as a result (unless you agree to bear these costs).
10.5 Westwing does not assume any procurement risk, in particular not in the case of a generic purchase. Westwing is only obliged to deliver from the existing stock of goods or from the goods ordered from the suppliers. Westwing's obligation to deliver does not apply if Westwing is not supplied, not supplied in full or not supplied on time despite an existing sales contract (covering transaction) with the respective supplier and is not responsible for this. Westwing will inform you immediately and inform you of the new expected delivery period. If the new delivery period is not acceptable to you or the goods are no longer available within the new delivery period or at all, Westwing and you are entitled to withdraw from the contract with regard to the goods in question; in this case, we will immediately reimburse any consideration already paid.
10.6 Westwing cannot be held liable for the non-performance or defective performance of its obligations under this agreement if and to the extent that this is due to the occurrence of force majeure, without prejudice to the fact that Westwing will do everything in its power to minimise the consequences of such an event.
Force majeure includes all unforeseen events or events that - even if they were foreseeable - are beyond Westwing's control and where the impact on the fulfilment of the contract could not have been prevented by Westwing's reasonable efforts. This includes, but is not limited to, war, warlike condition, riot, rebellion, military or civilian coup, insurrection, civil commotion, riot, embargo, government order, fire, flood, storm surge, hurricane or other severe weather of catastrophic proportions, earthquake, lightning, pandemic, epidemic, nuclear hazard or any similar cause beyond the control of Westwing that makes it illegal, or where it is impossible or economically impracticable to fulfil or comply with the obligations set out in these Terms and Conditions. If a case of force majeure occurs, Westwing is obliged to inform you immediately. Westwing is released from its obligation to perform for the duration of the event. Delivery and performance deadlines are to be extended appropriately. If the force majeure lasts longer than 8 weeks, Westwing and you are entitled to withdraw from the contract.
10.7 If the delivery of the goods fails for reasons for which you are responsible, Westwing is entitled to charge you the costs of a new delivery as well as reasonable storage costs from the day of the unsuccessful delivery. The re-delivery is subject to a charge even if the initial delivery was free of charge for you. We will inform you of the additional costs before the new delivery and will only carry out the delivery with your consent. Westwing reserves the right to withdraw from the contract if you do not give your consent to a new delivery within 30 days. In this case, any payments already made by you will be refunded by Westwing.
10.8 The delivery of an order presupposes that there are no outstanding debts.
10.9 If the delivery time is extended or if Westwing is released from its obligation, you cannot derive any claims for damages from this, subject to the provisions in Section 10. The customer can only invoke the aforementioned circumstances if he informs Westwing immediately.
11. WARRANTY, LIABILITY AND TRANSPORT DAMAGE
11.1 The description of each product shall be as set out in the product detail page of our website. It is your sole responsibility to confirm that any product being purchased is sufficient for the end use to which you intend to place that product.
11.2 You are obliged to inspect the goods immediately and carefully, i.e. individually, for defects in quantity or quality. You must report all defects in writing immediately. Defects that cannot be discovered within this period, even after careful inspection, must be reported to Westwing in writing immediately after discovery.
11.3 Customary or minor, technically unavoidable deviations in quantity, quality, colour, width, weight, equipment or design shall not be deemed defects.
11.4 In the event of defects, Westwing has the right to choose between repair or replacement. Westwing's right to refuse subsequent fulfilment under the legal requirements remains unaffected.
11.5 If the rectification fails after a reasonable period of time, you may, at your discretion, demand a reduction in price or withdraw from the purchase contract. The latter is excluded in the case of only insignificant deviations from the quality.
11.6 Warranty claims against Westwing are only available to the direct customer and are not transferable. They expire 12 months after delivery.
11.7 Without prejudice to mandatory statutory provisions, Westwing's liability is limited to cases of gross negligence or wilful misconduct on the part of Westwing.
11.8 The aforementioned limitations and exclusions of liability according to clause 10.6 do not apply if Westwing has fraudulently concealed the defect or has assumed a guarantee for the goods.
11.9 Claims for damages due to obvious material defects of the delivered goods are excluded if you do not notify us of the defect within a period of two weeks after delivery of the goods.
11.10 The following restriction applies to contracts for the delivery of used goods: The limitation period for claims for defects is one year from delivery of the goods.
11.11 If the goods are delivered with obvious damage to the packaging or contents, we ask you to complain immediately to the carrier concerned and to contact Westwing Customer Service (service@westwing.co.uk) or your Westwing Business contact person.
12. ADDITIONAL COMMERCIAL WARRANTY
12.1 An additional commercial warranty only exists if this is explicitly shown and described on the product detail page.
12.2 Drawings, illustrations, dimensions, weights or other performance data do not constitute promises or guarantees and are only binding if this is expressly agreed.
12.3 Quality agreements take precedence over other objective requirements.
13. RESERVATION OF TITLE
13.1 The goods delivered by Westwing remain the property of Westwing until full payment has been received. You are entitled to sell the goods in the ordinary course of business as long as you are not in default. Pledging and transfer by way of security are not permitted. In the event of resale, the customer hereby assigns the resulting claim against the purchaser to Westwing by way of security. The same applies to other claims that take the place of the delivered goods or otherwise arise with regard to the delivered goods, such as insurance claims or claims arising from unauthorised action in the event of loss or destruction. Westwing revocably authorises you to collect the claims assigned to Westwing in your own name.
13.2 If third parties gain unauthorised access to the goods, you will immediately point out Westwing's ownership and inform Westwing of this in order to enable Westwing to enforce its rights.

17. RIGHTS OF USE
The content of this Website, including text, graphics, photographs, illustrations, images, videos, sounds and software (hereinafter referred to as "Material") is protected by certain intellectual property rights. The download or use for private use is permitted. The further publication, transmission, reproduction or other use of the content / material is not permitted.
All rights of use to the material on the Website are held by Westwing or our partners. The use of the material - in any form whatsoever - is not permitted without the express written consent of Westwing.
All trademarks used on the Website may not be used without the prior written consent of Westwing.
18. CODE OF CONDUCT
You undertake to comply with Westwing's Code of Conduct for Business Partners as amended from time to time (available at https://ir.westwing.com/websites/westwing/English/5500/compliance.html). A breach of the Code of Conduct for Business Partners constitutes a material breach of contract which entitles Westwing to terminate the contract for good cause.
19. AMENDMENTS TO THE GTC
Westwing reserves the right to make changes to the Website, rules, terms and conditions including these GTC at any time. The terms and conditions in force at the time of your order will apply to your order, unless a change to these terms and conditions is required by law or governmental order (in which case they will also apply to orders you have previously placed).
20. FINAL PROVISIONS
20.1 For legal disputes arising from or in connection with the use of www.westwing.co.uk, the law of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.
20.2 Should a provision be or become void or ineffective, the remaining provisions shall remain valid. The relevant statutory provisions shall apply in place of the void or ineffective provisions.
20.3 Westwing may assign, transfer or subcontract its rights and obligations set out in these Terms and Conditions to any third party (including any company in the Westwing Group).
